Board of Directors
Description
The Board of Directors (BOD) consists of the legal directors of
the corporation and has the responsibility for the propagation
and maintenance of the Danzan Ryu System.
The Board of Directors are the legal directors of the corporation,
and have the responsibility for the propagation and maintenance of the
Danzan Ryu system.
Preserve and promote the quality and world-wide growth of Danzan Ryu.
Further Information
The Board of Directors is the primary governing body of the AJJF.
Members are the legal Board of Directors of the corporation, and the
corporate officers are elected from their ranks.
The BOD is responsible for the preservation of the Danzan Ryu system,
within the AJJF, and the growth of the AJJF.
The AJJF Board of Directors was formerly know as
the AJJF Board of Professors (BOP).
When the Board of Directors was established to direct the corporation
the Board of Professors charter was changed to simply preservation
of the Danzan Ryu system.
The Board of Professors is made up of all AJJF Professors.
A. Members of the Board of Directors
- The BOD shall consist of active holders of the title of Professor in Danzan Ryu Jujitsu as awarded by the AJJF.
- "Active Professors" are defined in the corporate Bylaws.
- Honorary Titles: "Shihan" and "Honorary Professor"
- The Board of Directors may, at their discretion, recognize ranks or award honorary titles to members of other martial arts organizations. Those people so honored will not be considered active members of the Board of Directors.
B. Responsibilities - The Board of Directors
- Shall insure that the AJJF adheres to all State and Federal Laws.
- Shall insure the continuation and growth of the Danzan Ryu system and the AJJF, within the stated goals and standards of the AJJF.
- Shall be responsible for the instruction and professional growth of the School Heads, Blackbelts, and members.
- Shall respond within two weeks after receipt of Operations Committee
minutes to act on the Operations Committee decisions, if necessary.
All decisions will be relayed to the Operations Committee for appropriate action by
the CEO only or a designee.
- Shall be responsible for the appointment of new Professors.
- Shall be responsible for the election/appointment of the Senior Professor, President, Vice-president, Secretary, and Treasurer as required by the corporate Bylaws.
C. Powers
- The Board of Directors shall have jurisdiction over all matters relating to the administration, finances, instruction, and continuation of the AJJF. Such jurisdiction shall include, but not be limited to:
- Certification of schools, Blackbelts, and instructors.
- Disciplinary actions of members and schools.
- Review of the actions and decisions of the Operations Committee.
- The Board of Directors has complete veto power over the decisions and actions of the Operations Committee, without changing them.
- All vetoes must be returned to the Operations Committee prior to their next meeting with explanation and/or recommendations for the change. Otherwise, Board of Managers decisions will be considered approved by the Board of Directors.
- Selection of new professors from the ranks of available candidates.
- Election/appointment of the Senior Professor, President, Vice-president,
Secretary, Treasurer, and Chief Executive Officer.
- Standardization of all rank requirements, programs and techniques.
D. Corporation Officers
The Board of Directors shall appoint the following officers at the annual meeting of the AJJF for a term of three years, subject to annual confirmation, as required by the Bylaws.
- Senior Professor
- Responsibilities
- Maintain the integrity of the techniques and philosophy of the Danzan Ryu system within the AJJF.
- Be personally responsible for the instruction of the Professors, School Heads, and Blackbelts.
- Administer the Professors' travel funds.
- Be the official speaker for the BOD to the membership and the general public.
- Duties
- Organize and administer classes and clinics for the instruction of professors and Blackbelts.
- Administrative: Schedule, Budget and Preparation of a financial report of Professors' travel fund.
- If the Senior Professor is unable to fulfill the responsibilities and duties of the Senior Professor, the BOD will select another Professor to fulfill those obligations in the interim.
- President
- Responsibilities
- Insure that the AJJF conforms to all State and Federal regulations and
laws as defined by the corporation Bylaws.
- Be responsible for the continuation and growth of the AJJF.
- Implement the goals and directives of the Board of Directors.
- Communicate with the CEO to transmit all rules and decisions of the
BOD to the Chair of the Operations Committee for implementation.
- Duties
- Be responsible for continuation and growth of the AJJF.
- Insure that the AJJF conforms to all State and Federal
regulations and laws as defined by the corporation Bylaws.
- Vice-president of Instruction and External Affairs
- Responsibilities
- Implement the goals and directives of the Board of Directors and Senior Professor for instruction of the Danzan Ryu System.
- Fulfill the duties of the President if the President is unable to perform them.
- Be the official liaison between the AJJF School heads and the Board of Directors for matters related to instruction of the Danzan Ryu system.
- Be the official liaison between the AJJF and other organizations, such as Amateur Athletic Union (AAU), and American Jujitsu Institute (AJI).
- Seek to expand relations with other martial arts organizations.
- Duties
- Develop programs for the instruction of the School Heads.
- Monitor the activities of the Manager of Clinics and Contests
and insure that there is an active instructional program.
- Secretary of the Board of Directors
- Responsibilities
- Insure that all records of the AJJF are recorded, maintained, and stored as required by the corporation Bylaws.
- Maintain records of all official BOD correspondence.
- Maintain records of all BOD meetings.
- Inform the Operations Committee Secretary of any changes in the School Handbook.
- Duties
- Maintain records of updated Bylaws changes.
- Brings the School Handbook, minutes book, and Bylaw changes to the BOD meetings.
- Chief Executive Officer
- Responsibilities
- Schedule and chair four BOD meetings yearly as
required by the corporate Bylaws, and insure that the AJJF conforms to all
regulations and laws as required by the corporation Bylaws.
- Communicate with the Senior Professor and
President and transmit all rules and decisions of the BOD to the Chair of
the Operations Committee for implementation.
- Monitor activities of the Operations Committee members to
insure they are active and productive.
- Prepare a yearly statement of goals for the Operations Committee
and the AJJF to be presented at the annual Convention.
- Direct the Chair of the Operations Committee to prepare an agenda for, and
chair the annual School Heads Meeting.
- Duties
- Oversee the production of the Kodenkan Press.
- Be responsible for the continuation and growth of the AJJF.
- Insure the line of command is adhered to by the Board of Directors and the Operations Committee.
- Treasurer of the Board of Directors
- Responsibilities
- Insure that all financial records of the AJJF are maintained and stored as required by the corporation Bylaws.
- Insure that all state and federal tax forms are prepared and stored.
- Administer the finances of the BOD.
- Duties
- Prepare a yearly budget and financial report of the Board of Directors' expenses.
- Prepare a financial report for the quarterly BOD meetings.
- Director of Instruction (DOI)
The Director of Instruction is responsible
for the implementation of all classes, seminars, programs, and instruction
of the AJJF. The DOI insures that the integrity of the AJJF is maintained
in all instructional settings.
Whereas the Administrator of Curriculum
(AOC) is responsible for matters specific to DZR, the DOI is responsible for
instructional matter relating to the whole of the AJJF. The AOC is
responsible for matters specific to technique, history, and philosophy; the
DOI is responsible for (1) How that information is disseminated to the
members and (2) developing programs to get the information out to the
members (3) as well as all material not specific to technique, history, or
philosophy. In other words, the DOI oversees the Instruction of the AJJF
much as a principal oversees the instruction of a school. All AJJF
programs, classes, and seminars which are developed that are not specific to
the core of DanZan (i.e. technique, history, and philosophy) are under the
direction of the Director of Instruction.
